1. Acceptance of Terms
By accessing or using VedaX Studio ("Company," "we," "our," or "us"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
2. Definitions
- Service — the VedaX Studio platform, website, APIs, and related products.
- User Data — data you import, connect, or upload from your own systems.
- Account — your registered access to the Service.
3. Eligibility & Account Registration
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.
4. Description of Services
VedaX Studio is a business intelligence platform that connects to data sources (databases, Google Sheets, Shopify, and others), runs queries, and generates dashboards, reports, and AI-powered insights. Features and availability may change over time. We may modify, suspend, or discontinue any part of the Service with reasonable notice.
5. Subscription Plans & Billing
- Paid plans are billed in advance on a recurring basis (monthly or annually) via Stripe or Razorpay.
- Subscriptions renew automatically unless cancelled before the renewal date.
- Fees are non-refundable except where required by law or expressly stated.
- We may change pricing with at least 30 days' notice; changes apply to the next billing cycle.
6. User Data & Content
You retain all ownership rights to your User Data. You grant us a limited license to process User Data solely to provide the Service to you. You are responsible for ensuring you have the rights and lawful basis to import and process your User Data. Our handling of personal data is described in our Privacy Policy.
7. Third-Party Integrations
The Service integrates with third-party platforms (e.g., Google, Shopify, Stripe). Your use of those integrations is subject to the respective third party's terms. VedaX Studio's use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. We are not responsible for third-party services.
8. Intellectual Property
The Service, including its software, design, and trademarks, is owned by VedaX Studio and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service per these Terms. You may not copy, modify, reverse-engineer, or resell the Service except as permitted by law or our open-source license terms.
9. Prohibited Conduct
- Violating any applicable law or the rights of others.
- Uploading malicious code or attempting to breach security or access controls.
- Reverse-engineering, scraping, or overloading the Service.
- Using the Service to process data you are not authorized to process.
10. AI Features & Limitations
AI-generated insights are probabilistic and provided "as is." You remain responsible for verifying accuracy and for decisions made based on AI outputs. VedaX Studio is not liable for actions taken based on AI-generated content.
11. Indemnification
You agree to indemnify and hold VedaX Studio harmless from claims, damages, and expenses arising from your misuse of the Service, your User Data, or your violation of these Terms or applicable law.
12. Disclaimers & Warranty
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
13. Limitation of Liability
To the maximum extent permitted by law, VedaX Studio's aggregate liability for any claim arising out of or relating to the Service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.
14. Term & Termination
You may cancel your account at any time. We may suspend or terminate your access for violation of these Terms or applicable law. Upon termination, your right to use the Service ceases and your User Data is handled per our Privacy Policy retention schedule.
15. Governing Law & Disputes
These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts of India, without prejudice to mandatory consumer protections in your jurisdiction.
16. Jurisdiction-Specific Rights
Nothing in these Terms limits rights you have under mandatory local laws (including consumer protection and data protection laws such as GDPR, DPDP, and CCPA). Where a provision conflicts with such mandatory law, that law prevails to the extent of the conflict.
17. Changes to Terms
We may update these Terms periodically. For material changes, we will provide notice via email or a prominent in-platform notice at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
